These have a more neutral sound, so they should sound better to you. The noise canceling is nowhere near as good as Bose and Sony, though, so take that into consideration if that's important to you.
$399 is the msrp when these were in initially released. At this price, it's really a no-brainer as the build-quality is unmatched. I'm really tempted to pick up one as backup.
